Your counterparty and governing law

1. If you are in the United States, these Terms are between you and Cuesoft Inc., a Delaware corporation.
2. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, and without applying the United Nations Convention on Contracts for the International Sale of Goods.

Forum

The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from the Websites, and both parties consent to their jurisdiction and waive objections of inconvenient forum. Either party may seek urgent interim or injunctive relief in any court of competent jurisdiction.

Signed agreements

Services provided under a signed agreement (a CueHIRE™ engagement, a Cueprise™ licence, an offer of admission) are governed by the law and forum stated in that agreement; this page fills the gap only where the agreement is silent.

Consumer rights

Some US states grant consumers rights that cannot be waived by contract, including warranty rights and remedies under state consumer-protection statutes. Nothing in these Terms limits those rights, and where a state’s law makes a provision of these Terms unenforceable as to you, the severability clause applies.
